<p style="min-height:1.5em">This is a fully remote role within the United States.</p><p style="min-height:1.5em">We’re eliminating the financial complexity of healthcare – and we need a lawyer who also thinks like a business person. This is not a ticket-queue job. It’s a seat at the table.</p><p style="min-height:1.5em">More specifically: we’re looking for a transactional attorney with a solid commercial foundation who’s ready to be a builder. If you’ve spent time at a firm or a larger in-house team and found yourself wanting more context, more ownership, and a front-row seat to how the business actually works – this is that role.</p><p style="min-height:1.5em">You’ll be the second attorney in Turquoise’s history, joining a GC who built the legal function from the ground up shortly after the company’s founding. The infrastructure is in place, and now we need someone to help scale it.</p><p style="min-height:1.5em">As Commercial Counsel, you’ll be an embedded partner across the company – Sales, Customer Success, Product, Engineering, Marketing, People Operations, and more – helping us move fast, close deals, and figure out the right answer on hard questions. You’ll also own the contracting function: drafting, negotiating, and building the infrastructure that lets Legal scale without becoming a bottleneck.</p><p style="min-height:1.5em">You’re the right fit if your instinct when a deal gets complicated is to find a path forward – not list the reasons it might be risky. You’re genuinely curious about the healthcare and health tech space, excited to go deep on a new regulatory question, and adaptable enough to thrive in an environment where the problems keep evolving. With a robust, diverse team, we are stronger and better equipped to change the future of healthcare for all.</em></p><p style="min-height:1.5em"><strong>What you’ll be doing</strong></p><ul style="min-height:1.5em"><li><p style="min-height:1.5em">Be the first point of contact for legal questions across the company – Sales, Customer Success, Product, Engineering, Marketing, People Operations, and more – triaging and resolving what you can, and collaborating with the GC on what needs to go further.</p></li><li><p style="min-height:1.5em">Own the contracting function end to end – drafting and negotiating the full range of agreements across customer, vendor, and operational matters, including MSAs, BAAs, SOWs, NDAs, ICAs, and Order Forms.</p></li><li><p style="min-height:1.5em">Build and own the infrastructure that keeps Legal running – the systems, processes, and programs that let the company move fast and stay compliant as it grows — and continuously look for ways to make them smarter, whether through AI tooling, better platforms, or cleaner workflows.</p></li><li><p style="min-height:1.5em">Interface with outside counsel on specialized matters – providing context, managing workflow, and implementing guidance back into the business.</p></li><li><p style="min-height:1.5em">Stay on top of the legal and regulatory landscape that shapes our business – healthcare data, price transparency, AI governance, privacy, and adjacent areas – and translate what’s changing into clear, actionable guidance for the team, including supporting government affairs and policy engagement as TQ’s visibility in the market grows.</p></li><li><p style="min-height:1.5em">Help build Legal’s presence and credibility across the company – through clear, proactive communication, internal guides and playbooks, and the kind of education that helps teammates move faster and make better decisions.</p></li><li><p style="min-height:1.5em">Support board governance and corporate policy work – maintaining records, preparing consents and minutes, and assisting with board materials as the company scales.</p></li></ul><p style="min-height:1.5em"><strong>What you’ll bring to the role</strong></p><ul style="min-height:1.5em"><li><p style="min-height:1.5em">JD from an accredited law school and active bar membership in at least one US state.</p></li><li><p style="min-height:1.5em">4-7 years of transactional legal experience, with a meaningful focus on commercial contracts – at a firm, in-house, or both.</p></li><li><p style="min-height:1.5em">Strong working knowledge of SaaS and data licensing; experience negotiating with enterprise buyers is a plus.</p></li><li><p style="min-height:1.5em">Comfort with healthcare-adjacent regulatory frameworks (HIPAA, No Surprises Act, CMS price transparency) – or a genuine eagerness to learn them. We care more about how fast you pick things up than whether you already know every acronym.</p></li><li><p style="min-height:1.5em">You give guidance that actually helps people make decisions – not advice that hedges every direction and leaves the other person no better off than before they asked.</p></li><li><p style="min-height:1.5em">Low ego and high ownership. You’re energized by work that’s varied in both content and depth, and you take pride in doing it well.</p></li><li><p style="min-height:1.5em">Intellectually curious and adaptable – you want to understand the business deeply, not just the questions that come across your desk.</p></li><li><p style="min-height:1.5em">Comfortable being the only lawyer in the room – and confident enough to say "I don't know yet, but I'll find out" without losing credibility.</p></li><li><p style="min-height:1.5em">We use AI every day – Claude, ChatGPT, and more – and so will you. Beyond that, you’ll own the legal side of AI at TQ: tool approvals, use policies, and navigating AI provisions in customer and vendor agreements.</p></li></ul><p style="min-height:1.5em"><strong>Bonus points</strong></p><ul style="min-height:1.5em"><li><p style="min-height:1.5em">Hands-on experience with Ironclad or another CLM platform.</p></li><li><p style="min-height:1.5em">Experience with managed care, payer/provider/employer relations, data commercialization, or consumer payments.</p></li><li><p style="min-height:1.5em">Exposure to IP basics – trademark, patent fundamentals, or working with IP outside counsel.</p></li></ul><p style="min-height:1.5em"></p><h1><strong>About Turquoise Health</strong></h1><p style="min-height:1.5em">Turquoise Health is a Series C price transparency platform for finance leaders across healthcare.
